Bastivo Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern access to and use of the Bastivo website, marketplace, AI Assessment tool, and related services (collectively, the "Platform" or "Bastivo"). Bastivo is a product and brand operated by DICEUS Inc., a Delaware corporation with a business address at 2810 N Church St, Ste 94987, Wilmington, Delaware 19802-4447, USA ("DICEUS", "we", "us", or "our"). Bastivo does not currently have a separate legal entity from DICEUS.

By accessing or using the Platform, creating an account, submitting a Provider Profile, completing an AI Assessment, or otherwise interacting with Bastivo, you agree to be bound by these Terms and by our Privacy Policy and Cookie & Tracking Policy, each incorporated here by reference. If you do not agree, do not use the Platform.

If you use the Platform on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers both to you individually and to that organization.

2. Eligibility

Bastivo is intended for use by adult business users. By using the Platform, you represent that you are at least 18 years old and are using the Platform for business, professional, or commercial purposes rather than personal, family, or household purposes. Bastivo does not currently verify age through an age gate, date-of-birth collection, or age-verification technology; this Section states a contractual eligibility requirement rather than a technical control, and Bastivo may refuse or terminate access where it reasonably believes this requirement is not met.

3. About Bastivo; Relationship to DICEUS Inc.

Bastivo is operated by DICEUS Inc. References to "Bastivo" in these Terms mean the Bastivo product and brand as operated by DICEUS Inc. DICEUS Inc. is the contracting party under these Terms and is responsible for the Platform's operation.

4. Description of the Platform

Bastivo is an independent, AI-assisted corporate risk and insurance discovery, comparison, assessment, and provider marketplace platform. It helps corporate buyers understand which risk-financing and insurance strategies may fit their situation, and connects them with third-party providers of captive management, actuarial, legal, consulting, third-party administration (TPA), and insurance-software services ("Providers").

Bastivo is a technology marketplace and decision-support platform. Bastivo is not an insurance carrier, insurance broker or agent, law firm, actuarial firm, third-party administrator, or fiduciary financial adviser. Bastivo does not quote, bind, sell, solicit, negotiate, or place insurance coverage; does not exercise delegated placement authority; and does not provide legal, tax, actuarial, or insurance advice. Any introduction or connection Bastivo facilitates between you and a Provider is a discovery and referral function only, not a placement, brokerage, or advisory service, and Bastivo receives no placement-contingent compensation for such introductions.

Bastivo's primary commercial market is the United States. Bastivo is U.S.-first. Content relating to Bermuda, the Cayman Islands, and other non-U.S. domiciles reflects the marketplace's coverage of relevant risk-financing jurisdictions and does not make those jurisdictions co-equal target markets. Bastivo is globally accessible, but does not currently intend to actively target the European Union or United Kingdom as a primary market.

Bastivo currently offers its marketplace and AI Assessment functionality free of charge. Bastivo does not currently charge Providers for listing, subscription, or sponsored placement, and no payment or billing functionality currently exists on the Platform. Payment or any other commercial arrangement never affects Bastivo's organic ranking. Claiming a Provider Profile does not by itself improve its organic ranking. A Profile's current Verified status is one of several disclosed factors in Bastivo's published ranking methodology and does not guarantee any particular placement.

5. Accounts and Registration

5.1 Account and Access Types

The Platform supports several categories of access: (a) anonymous browsing, search, and comparison, and a preliminary AI Assessment result, all without an account; (b) an "Identified Anonymous" status created only when you take an explicit action that provides your contact information (for example, requesting a full Assessment report or requesting an introduction to a Provider); (c) a registered Buyer account ("Buyer"); (d) a registered Provider User account associated with one or more Provider Organizations ("Provider User"); and (e) internal Bastivo Administrator accounts, which are not available through self-registration.

5.2 Registration

Registering a Buyer or Provider User account requires your full name, a valid email address, a password, and your acceptance of these Terms and our Privacy Policy. You may also separately and affirmatively opt in to receive marketing communications; this consent is optional and independent of your acceptance of these Terms. You are responsible for the accuracy of the information you provide and for updating it as it changes.

You may register and sign in using an email address and password, or, where offered, by using LinkedIn as an external identity provider. If you sign in using LinkedIn, LinkedIn will share with Bastivo the limited profile information associated with the permissions you grant during that sign-in. Signing in with LinkedIn establishes your identity only; your access to features of the Platform is governed by Bastivo's own account roles and permissions, not by LinkedIn.

5.4 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at the contact address in Section 21 if you suspect unauthorized use of your account. Bastivo Administrator accounts require multi-factor authentication and are provisioned internally.

5.5 Buyer Accounts

A registered Buyer account provides access to persistent, cross-device functionality not available anonymously, including saved Providers, shortlists, saved comparisons and searches, a history of your AI Assessments and reports, bookmarks, and status tracking for introduction requests you have submitted. A Buyer account is not required to browse the public marketplace or to receive a preliminary AI Assessment result.

5.6 Provider Users and Provider Organizations

A Provider User is a registered user associated with one or more Provider Organizations. Multiple Provider Users may be associated with the same Provider Organization as team members; team members share the same level of access to that organization's Provider Portal, subject to a maximum of ten active team members per Provider Organization (which Bastivo may increase at its discretion). A Provider User may remove another team member's access at any time. A single individual may hold both a Buyer account relationship and one or more Provider Organization relationships.

5.7 Suspension of Individual Accounts for Cause

Bastivo may disable or suspend an individual account for cause, consistent with Section 13.

6. Provider Profiles

6.1 Nature of Provider Profiles

A "Provider Profile" is a public marketplace listing describing a Provider's business, services, and related information. Provider Profiles pass through several statuses over their lifecycle: Unclaimed (created by Bastivo from publicly available information, before any Provider has registered or taken ownership), Claim Pending (a claim submitted and awaiting Bastivo's review), Claimed (ownership established), Verification Pending, Verified (both ownership and Bastivo's verification process completed), Suspended, and Archived. All transitions into Claimed, Verified, Suspended, or Archived status are made by Bastivo, not automatically or unilaterally by a Provider.

6.2 Provider Profiles Based on Publicly Available Information

Bastivo may create and publish a Provider Profile for a business before that business has registered with or consented to appear on Bastivo, using information from legitimate public sources such as the Provider's own website, its public LinkedIn or business-directory pages, regulator or government sources, public registries, industry association directories, and other legitimate publicly available business sources. Bastivo applies data-minimization practices to this sourcing, distinguishes sourced facts from AI-generated interpretation, and provides the correction mechanism described in Section 6.6. A Provider whose business is described in an Unclaimed Provider Profile may claim that profile as described in Section 6.3, or may submit a correction or removal request as described in Section 6.6.

6.3 Claiming and Verification

A Provider may submit a claim to an existing Provider Profile, or request creation of a new one, by providing the information Bastivo requires to establish a good-faith connection between the claimant and the business (which may include a company email address, supporting documentation, and a description of the claimant's role). Bastivo reviews and approves or rejects claims and verification requests at its sole discretion; no automated signal (including an email-domain match) by itself establishes Verified status. Verified Providers are subject to periodic and event-triggered re-verification. Verification status may expire and be reinstated only through a new verification review.

"Verified" means that Bastivo has confirmed profile ownership and completed its own verification process. It is not a guarantee of quality, solvency, regulatory compliance, professional suitability, insurance coverage, or financial strength, and it is not an endorsement by Bastivo. Any use of comparative language such as "Best" or "Top" on the Platform reflects an explainable, published, non-monetary ranking methodology and does not imply regulatory endorsement or a guarantee of outcome. Additional detail on verification and correction procedures is set out in the separate Provider Listing, Verification & Correction Policy.

6.4 Provider-Submitted Content; License Grant

If you submit content to a Provider Profile on behalf of a Provider Organization (including logos, descriptions, case studies, and other materials, "Provider Content"), you represent that you have the necessary rights and authority to submit that content and that it does not infringe or violate any third party's rights. You retain ownership of Provider Content. You grant Bastivo a non-exclusive, worldwide license to host, store, reproduce, technically modify or reformat, display, publish, and distribute Provider Content within the Platform, and to use it to operate and promote the associated Provider Profile.

6.5 Provider Profiles Are Independent of Individual User Accounts; No Self-Service Company Deletion

A Provider Organization and its public Provider Profile are legally and functionally separate from any individual Provider User's personal account. A Provider Organization or its public Provider Profile cannot be deleted through a self-service action. A Provider User may delete their own individual user account at any time as described in Section 13.2; doing so does not delete, archive, hide, or "unclaim" the associated Provider Organization or Provider Profile, and does not affect any other Provider User's access. If the individual deleting their account is the sole remaining Provider User with access to a Claimed Provider Organization, the Provider Profile remains live and Claimed, and enters an internal access-recovery status pending a new authorized representative completing Bastivo's ownership-recovery and verification process; it does not revert to Unclaimed status and is not removed from the marketplace solely because of that account deletion.

6.6 Correcting, Restricting, Archiving, Merging, or Removing a Provider Profile

Any person, including a Provider, a buyer, or an unaffiliated third party, may report suspected inaccuracies in a Provider Profile using the reporting mechanism on the Platform; a report does not itself change the disputed content pending Bastivo's review. A Provider seeking to correct, restrict, archive, merge, or remove its own Provider Profile — including a Provider that no longer wishes to appear on the Platform — must submit that request to Bastivo through the applicable support or correction channel described on the Platform for ordinary factual or business corrections, or to privacy@bastivo.com where the request concerns privacy or personal data. Bastivo reviews these requests manually and, where appropriate, may correct, merge, hide, archive, restrict, or remove the affected Provider Profile. Submitting such a request is a request for Bastivo's review; it is not an automatic entitlement to removal, and Bastivo retains discretion to determine the appropriate outcome consistent with applicable law and this Section. Provider Organization archival outside of this request process otherwise remains within Bastivo's administrative discretion.

7. AI Assessment

7.1 Nature and Purpose

Bastivo offers an AI-assisted assessment tool (the "AI Assessment") that helps you understand how your stated circumstances align with several risk-financing approaches, using a combination of deterministic, rules-based scoring and AI-generated narrative explanation. The AI Assessment provides educational, informational comparisons. It does not constitute insurance, legal, tax, or actuarial advice, and it is not a substitute for consultation with appropriately qualified professional advisers. Results reflect alignment with the preferences and information you provide and Bastivo's own scoring methodology; they are not a prediction of financial outcome, savings, or regulatory eligibility, and are not a guarantee that any option identified is available, suitable, or compliant for you. You should verify programme, funding, and legal requirements with appropriately qualified advisers before acting on any AI Assessment result. Additional detail on the AI Assessment's methodology and disclosures is, or will be, set out in the separate AI Assessment Methodology & Disclaimer.

7.2 Human Escalation

Where you request further assistance through the Platform (for example, by requesting general help or by requesting an introduction to a specific Provider), Bastivo or the relevant Provider may follow up with you. Neither action implies that a licensed professional has reviewed or approved your specific results.

7.3 Evidence Review

Where the Platform describes a result as subject to review for evidentiary corroboration, that review evaluates the quality and consistency of the supporting information you or a Provider has supplied. It does not certify legal eligibility, insurance suitability, or actuarial correctness, does not constitute professional advice, and does not approve your risk-financing programme.

7.4 AI-Generated Content Generally

Content on the Platform that is generated or substantially assisted by artificial intelligence — including AI Assessment narrative, a Provider's AI-generated profile summary, and limited AI-assisted content elsewhere on the Platform — is labeled as AI-generated or AI-interpreted and is distinguished from verified factual content. AI-generated content cannot change a Provider's verification status, listing eligibility, review status, profile ownership, or ranking.

8. Reviews

8.1 Submission

Bastivo operates a review system through which individuals with a genuine engagement or relationship with a Provider may submit reviews of that Provider. All reviews are subject to Bastivo's moderation before publication.

8.2 Display

A published review displays certain reviewer-supplied information (such as job title, industry, company size, country, engagement type, and ratings) but, by default, does not publicly display the reviewer's name, company name, or email address unless the reviewer separately chooses to disclose that information.

8.3 Corrections, Disputes, and No Unilateral Removal

A Provider may dispute the factual accuracy of a review or appeal a moderation decision using the mechanisms described on the Platform. A dispute does not automatically remove or alter a published review. A Provider does not have a unilateral right to have a review removed merely because the review is negative; removal occurs only where Bastivo determines, applying its own review standards, that removal is warranted.

8.4 License to Review Content

By submitting a review, you grant Bastivo a non-exclusive, worldwide license to store, reproduce, moderate, publish, display, technically reformat, and distribute your review content within the Platform, and to retain it under Bastivo's applicable moderation and audit practices. You retain ownership of your review content, and this license does not transfer that ownership to Bastivo. Additional detail on review handling is, or will be, set out in the separate Review Policy.

9. Communications

By creating an account, you agree to receive transactional and service communications related to your account and use of the Platform (for example, confirmations, security notices, and status updates on requests you have submitted); these communications are not subject to marketing opt-out because they relate directly to your use of the Platform. Marketing communications are sent only if you have separately and affirmatively opted in, and you may withdraw that consent at any time through your account settings or by following the unsubscribe instructions in a marketing message.

10. Third-Party Providers, Content, and Services

Bastivo displays information about, and may facilitate introductions to, independent third-party Providers. Bastivo does not control, employ, supervise, guarantee, or warrant the services, conduct, licensing, regulatory status, solvency, or performance of any Provider, and any engagement you enter into with a Provider is solely between you and that Provider. The Platform may also link to, or integrate with, third-party websites or services (including LinkedIn, for sign-in purposes) that are not operated by Bastivo and are governed by their own terms and privacy practices, for which Bastivo is not responsible.

11. Intellectual Property

11.1 Bastivo IP

Bastivo (through DICEUS Inc.) owns and retains all right, title, and interest in the Platform, including its software, design, structured data, taxonomies, templates, scoring logic, methodology, and proprietary decision-making framework (collectively, "Bastivo IP"), other than content you or a Provider submit as described in Sections 6.4 and 8.4. Nothing in these Terms transfers any Bastivo IP to you.

11.2 Your License to Use the Platform

Subject to these Terms, Bastivo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your own internal business purposes.

11.3 AI Assessment Output

You retain rights in the information you submit to the AI Assessment. Subject to any applicable terms of Bastivo's underlying AI service providers, you may use the AI Assessment's generated narrative output for your own internal business purposes. Your use of that output does not transfer to you any ownership interest in Bastivo's underlying methodology, scoring logic, taxonomies, or other Bastivo IP.

12. Acceptable Use

You agree not to: (a) misrepresent your identity, your authority to act for an organization, or your relationship to a Provider; (b) submit false, misleading, or fraudulent information, including in a claim, verification, or review submission; (c) interfere with, disrupt, or attempt to circumvent the security, access controls, or normal operation of the Platform, including by bypassing authentication or access restrictions to reach non-public content; (d) scrape, harvest, or extract data from the Platform other than through means Bastivo expressly permits; (e) use the Platform to violate any applicable law or the rights of any third party; or (f) reverse-engineer, decompile, or attempt to derive Bastivo's underlying scoring methodology, weights, or source code.

13. Suspension and Termination

13.1 By Bastivo

Bastivo may suspend or terminate your access to the Platform, or the status of a Provider Profile, if we reasonably believe you have violated these Terms, applicable law, or Bastivo's policies, or where necessary to protect the Platform, other users, or third parties. Where a Provider Profile is suspended, Bastivo conducts a mandatory review of that suspension at least every ninety days.

13.2 By You — Individual Account Deletion

You may delete your individual Buyer or Provider User account at any time through your account settings, or by contacting us at the address in Section 21. Deleting your individual account does not, by itself, delete, archive, hide, or unclaim any Provider Organization or Provider Profile associated with that account; see Section 6.5. Deletion or anonymization of your individual account data occurs subject to the timelines and lawful retention exceptions described in our Privacy Policy.

13.3 Effect of Termination

Provisions of these Terms that by their nature should survive termination — including Sections 11 (Intellectual Property), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), and 18 (Governing Law) — survive any termination or expiration of these Terms.

14. Disclaimers

THE PLATFORM, THE AI ASSESSMENT, AND ALL CONTENT MADE AVAILABLE THROUGH THE PLATFORM (INCLUDING PROVIDER PROFILES, REVIEWS, AND PUBLIC-SOURCE INFORMATION) ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BASTIVO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY PROVIDER OR PUBLIC-SOURCE INFORMATION IS ACCURATE OR COMPLETE, THAT ANY PROVIDER'S SERVICES WILL MEET YOUR REQUIREMENTS, OR THAT ANY AI ASSESSMENT RESULT WILL ACHIEVE ANY PARTICULAR OUTCOME.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DICEUS INC. AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM, ANY PROVIDER YOU ENGAGE THROUGH THE PLATFORM, OR ANY AI ASSESSMENT RESULT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DICEUS INC.'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BASTIVO IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Because Bastivo currently offers the Platform free of charge to Buyers and Providers, the amount in clause (A) will typically be zero. Some jurisdictions do not allow certain limitations of liability, so some of the foregoing limitations may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless DICEUS Inc. from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Platform, or content you submit to the Platform, except to the extent caused by DICEUS Inc.'s own breach of these Terms or violation of applicable law.

17. Copyright Complaints

If you believe content on the Platform infringes your copyright, please contact us at legal@bastivo.com with sufficient information to identify the allegedly infringing material and your copyright interest in it. Bastivo maintains a process for reviewing and responding to good-faith copyright complaints.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. These Terms do not require mandatory arbitration and do not include a class-action waiver.

19. Changes to These Terms

Bastivo may update these Terms from time to time. If we make a material change, we will provide notice through the Platform or by email before the change takes effect. Your continued use of the Platform after a change becomes effective constitutes your acceptance of the updated Terms.

20. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Bastivo's failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without Bastivo's prior written consent; Bastivo may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and Cookie & Tracking Policy, constitute the entire agreement between you and DICEUS Inc. regarding the Platform.
